Contrairement aux stock-options, ils sont r\u00e9serv\u00e9s \u00e0 un p\u00e9rim\u00e8tre plus restreint d\u2019entreprises et encadr\u00e9s par un r\u00e9gime fiscal sp\u00e9cifique.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ils permettent aux b\u00e9n\u00e9ficiaires de devenir actionnaires dans le futur, souvent \u00e0 des conditions avantageuses, si la soci\u00e9t\u00e9 prend de la valeur entre le moment de l\u2019attribution du bon et son exercice.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"attribuer\">Qui peut attribuer des BSPCE ?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Tous les types d\u2019entreprises ne peuvent pas recourir aux Bons de Souscription de Parts de Cr\u00e9ateur d&rsquo;Entreprise. La loi en r\u00e9serve l\u2019usage \u00e0 des structures bien sp\u00e9cifiques, selon les crit\u00e8res suivants :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>L\u2019entreprise doit \u00eatre une soci\u00e9t\u00e9 par actions (SAS ou SA).<\/li>\n\n\n\n<li>Elle doit \u00eatre cr\u00e9\u00e9e depuis moins de 15 ans.<\/li>\n\n\n\n<li>Au moins 25 % du capital doit \u00eatre d\u00e9tenu par des personnes physiques (ou des personnes morales d\u00e9tenues majoritairement par des personnes physiques).<\/li>\n\n\n\n<li>La soci\u00e9t\u00e9 ne doit pas \u00eatre cot\u00e9e en bourse (sauf sur certains march\u00e9s r\u00e9glement\u00e9s comme Euronext Growth).<\/li>\n\n\n\n<li>Elle doit \u00eatre soumise \u00e0 l\u2019imp\u00f4t sur les soci\u00e9t\u00e9s en France.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Les startups innovantes en phase de croissance sont les principales utilisatrices de ce m\u00e9canisme qui leur permet de compenser leur manque de tr\u00e9sorerie par une promesse de gain futur index\u00e9e sur la r\u00e9ussite de l\u2019entreprise.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"recevoir\">Qui peut recevoir des BSPCE ?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Seules certaines cat\u00e9gories de personnes peuvent se voir attribuer des BSPCE :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Les <strong>salari\u00e9s<\/strong> de l\u2019entreprise<\/li>\n\n\n\n<li><strong>Les dirigeants (mandataires sociaux)<\/strong>, m\u00eame non-salari\u00e9s, \u00e0 condition d\u2019exercer une fonction effective dans la soci\u00e9t\u00e9.<\/li>\n\n\n\n<li>Les <strong>salari\u00e9s et dirigeants de filiales d\u00e9tenues \u00e0 plus de 75 %<\/strong> peuvent \u00e9galement b\u00e9n\u00e9ficier de BSPCE \u00e9mis par la soci\u00e9t\u00e9 m\u00e8re.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">En revanche, <strong>les prestataires externes, consultants, stagiaires<\/strong> ou membres du conseil d\u2019administration <strong>ne peuvent pas en b\u00e9n\u00e9ficier<\/strong> (\u00e0 la diff\u00e9rence des actions gratuites ou des stock-options).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"mise\">Mise en place, attribution et exercice <\/h2>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-mise-en-place\"><strong>Mise en place<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">La cr\u00e9ation d\u2019un plan de BSPCE requiert l\u2019accord des associ\u00e9s.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En <strong>SAS<\/strong>, l\u2019\u00e9mission de Bons de Souscription de Parts de Cr\u00e9ateur d&rsquo;Entreprise est d\u00e9cid\u00e9e en assembl\u00e9e g\u00e9n\u00e9rale des associ\u00e9s, puis les modalit\u00e9s sont d\u00e9finies par les statuts ou une d\u00e9l\u00e9gation donn\u00e9e au pr\u00e9sident. <br>En <strong>SA<\/strong>, l\u2019\u00e9mission de BSPCE est autoris\u00e9e par l\u2019assembl\u00e9e g\u00e9n\u00e9rale extraordinaire, sur proposition du conseil d\u2019administration ou du directoire.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Il convient \u00e9galement de fixer :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Le <strong>nombre total de BSPCE<\/strong> \u00e9mis ;<\/li>\n\n\n\n<li>Leur <strong>prix d\u2019exercice<\/strong> (g\u00e9n\u00e9ralement \u00e9gal ou sup\u00e9rieur \u00e0 la valorisation actuelle de l\u2019action) ;<\/li>\n\n\n\n<li>Leur <strong>p\u00e9riode d\u2019acquisition<\/strong> (vesting) ;<\/li>\n\n\n\n<li>Leur <strong>dur\u00e9e de validit\u00e9<\/strong> (souvent 10 ans).<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-attribution\"><strong>Attribution<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Les BSPCE sont ensuite attribu\u00e9s individuellement, souvent dans le cadre d\u2019un plan plus large de management package. Un contrat ou une lettre d\u2019attribution fixe :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Le calendrier d\u2019acquisition (vesting progressif ou cliff) ;<\/li>\n\n\n\n<li>Les conditions \u00e9ventuelles de performance ;<\/li>\n\n\n\n<li>Les modalit\u00e9s en cas de d\u00e9part du b\u00e9n\u00e9ficiaire (good leaver \/ bad leaver).<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-exercice\"><strong>Exercice<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Une fois les Bons de Souscription de Parts de Cr\u00e9ateur d&rsquo;Entreprise acquis, le b\u00e9n\u00e9ficiaire peut les exercer en versant le prix fix\u00e9 pour souscrire des actions. Il devient alors actionnaire de la soci\u00e9t\u00e9. Il peut revendre ses actions \u00e0 l\u2019occasion d\u2019un \u00e9v\u00e9nement de liquidit\u00e9 (cession, IPO&#8230;).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"fiscalit\u00e9\"><strong>Quel est le r\u00e9gime fiscal des BSPCE&nbsp;?<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Le r\u00e9gime fiscal des BSPCE est particuli\u00e8rement incitatif, tant pour l\u2019entreprise que pour le b\u00e9n\u00e9ficiaire.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-pour-l-entreprise\">Pour l\u2019entreprise <\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">L\u2019attribution de BSPCE <strong>n\u2019engendre aucune charge sociale<\/strong> (ni patronale, ni salariale). En outre, elle ne n\u00e9cessite <strong>pas de comptabilisation<\/strong> de charge \u00e0 passer au bilan (contrairement aux actions gratuites).<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-pour-le-beneficiaire\">Pour le b\u00e9n\u00e9ficiaire <\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Le gain r\u00e9alis\u00e9 au moment de la revente des actions issues de BSPCE est impos\u00e9 comme un gain de cession de valeurs mobili\u00e8res, avec un taux pr\u00e9f\u00e9rentiel :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>19 % + 17,2 % de pr\u00e9l\u00e8vements sociaux<\/strong> (soit 36,2 % au total) si les actions sont conserv\u00e9es <strong>au moins 3 ans<\/strong> apr\u00e8s l\u2019attribution des BSPCE ;<\/li>\n\n\n\n<li><strong>30 % + 17,2 %<\/strong> (47,2 %) si la dur\u00e9e est inf\u00e9rieure \u00e0 3 ans ou si le b\u00e9n\u00e9ficiaire a quitt\u00e9 l\u2019entreprise depuis moins de 3 ans.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Ces gains <strong>ne sont pas int\u00e9gr\u00e9s au bar\u00e8me de l\u2019imp\u00f4t sur le revenu<\/strong>, ce qui les rend plus attractifs qu\u2019un salaire ou une prime classique.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Les BSPCE constituent un puissant levier de motivation et de fid\u00e9lisation dans les jeunes entreprises \u00e0 fort potentiel. Ils permettent d\u2019aligner les int\u00e9r\u00eats des fondateurs, salari\u00e9s et investisseurs autour de la r\u00e9ussite de l\u2019entreprise. Leur mise en place n\u00e9cessite une bonne anticipation juridique et fiscale, mais offre un cadre avantageux qui en fait l\u2019un des outils les plus pris\u00e9s de la bo\u00eete \u00e0 outils RH des startups.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Glossaire initialement publi\u00e9 le 22\/11\/2023.
