Abridged terms for assets

Complimentary Sage product offering: Selected eligible UK businesses will receive one 12-month complimentary subscription to Sage 50 Accounts, Sage 50 Payroll, Sage Business Cloud Accounting or Sage Business Cloud Payroll, subject to eligibility, product suitability and availability. No other Sage product, service, package, add-on or feature is included. Existing Sage customers may instead be offered a product optimisation call or product health check, as determined by Sage. The recipient must complete the claim and activation steps, or arrange the optimisation call or health check, within three months of Sage's first contact about fulfilment. If the recipient does not do so, the Offer will expire. One offer per selected business unless Sage confirms otherwise. No cash alternative. Non-transferable and not for resale. At the end of the 12-month complimentary period, the subscription will convert to a paid subscription unless cancelled in accordance with the applicable Sage product terms. Applicable Sage product terms and the full Sage x EFL Complimentary Product Offer Terms apply. Promoter: Sage (UK) Limited.

1. Promoter
The Offer is provided by Sage (UK) Limited, C23 - 5 & 6 Cobalt Park Way, Cobalt Park, Newcastle Upon Tyne, United Kingdom, NE28 9EJ (“Sage”).

2. Eligibility
The Offer is available to eligible UK businesses selected or approved by Sage through a qualifying Sage x EFL activation. The recipient must be authorised to accept the Offer for the business and must meet any eligibility, technical and account requirements for the relevant Sage product or service. Sage may request information reasonably required to confirm eligibility before fulfilling the Offer. The recipient warrants that it is authorised to bind the business to these terms, that the information it provides is accurate and complete, and that neither it nor the business is subject to sanctions that would prohibit Sage from providing the Offer. The recipient must comply with applicable laws, including anti-bribery, sanctions and export control laws, when claiming and using the Offer.

3. The Offer
The recipient will receive one complimentary 12-month subscription to one Eligible Product selected as appropriate for the business: Sage 50 Accounts, Sage 50 Payroll, Sage Business Cloud Accounting or Sage Business Cloud Payroll. No other Sage product, service, package, add-on or feature is included in the Offer. The 12-month period starts on the activation date confirmed by Sage.

4. Product selection and availability
The Eligible Product will be determined by Sage in consultation with the recipient, taking account of the recipient's business needs, eligibility, product suitability and availability. The Offer is limited to Sage 50 Accounts, Sage 50 Payroll, Sage Business Cloud Accounting and Sage Business Cloud Payroll. If none of the Eligible Products is available or suitable, Sage may withdraw the product subscription element of the Offer or, where appropriate, offer a product optimisation call or product health check. Sage will not substitute any other product or service unless separately agreed in writing.

5. Existing Sage customers
If the recipient is already a Sage customer, Sage will determine the most appropriate way to fulfil the Offer. This may include providing one of the Eligible Products or offering a product optimisation call or product health check. No other Sage product, service or benefit is included. The Offer does not automatically entitle an existing customer to a refund, retrospective discount, cash payment, account credit or extension of an existing subscription.

6. Claiming and activating the Offer
Sage or its appointed fulfilment provider will contact the recipient with the steps required to claim and activate the Offer or to arrange a product optimisation call or product health check. The recipient must complete the required steps or make reasonable arrangements to book the relevant call or health check, within three months of Sage's first contact about fulfilment. If the recipient has not done so within that period, the Offer will automatically expire, and Sage will have no obligation to provide it. The Offer is activated only once Sage confirms that the relevant subscription has been set up or the alternative call or health check has been booked.

7. One Offer per business
Unless Sage confirms otherwise in writing, each selected business may receive one Offer under the relevant activation. Receipt of an Offer through one activation does not guarantee eligibility for a future Offer.

8. No cash alternative, transfer or resale
The Offer has no cash alternative and is non-transferable. It may not be sold, resold, auctioned, assigned or otherwise transferred to another person or business.

9. Product terms
Use of any Eligible Product is also subject to the applicable Sage product, subscription, licence, acceptable use and privacy terms presented during activation. The recipient must accept any applicable product terms in order to use the Eligible Product. The applicable product terms are available at www.sage.com/en-gb/legal/terms-and-conditions/product-and-service-terms-and-conditions/ and prevail in relation to use of the Eligible Product, including intellectual property rights, warranties and liability. These terms give no additional warranty in relation to any Eligible Product.

10. End of the complimentary period
The complimentary period ends 12 months after activation unless Sage confirms otherwise in writing. At the end of that period, the subscription will convert to a paid subscription and the recipient will be charged in accordance with the pricing, billing frequency and product terms disclosed to and accepted by the recipient during activation, unless the recipient cancels before the end of the complimentary period in accordance with the applicable product terms. Sage is not required under these Offer terms to contact the recipient at the end of the complimentary period or provide a separate list of continuation options, except where required by applicable law or the applicable product terms.

11. Changes and substitution
If an Eligible Product becomes unavailable or cannot reasonably be provided, Sage may offer another Eligible Product, subject to suitability and availability. Sage will not substitute a product or service outside the list of Eligible Products unless separately agreed in writing. Sage may withdraw the Offer, or suspend or end the complimentary subscription, where eligibility cannot be verified, the recipient has not claimed or arranged the Offer within the three-month period in section 6, the recipient breaches these terms or the applicable product terms, misuses the Offer or provides false information, there is suspected fraud or a sanctions concern, or fulfilment would breach applicable law, regulation or Sage policy.

12. Relationship with the EFL and clubs
Receiving the Offer does not grant the recipient any right to describe itself as an official partner, sponsor or supplier of Sage, the EFL or any EFL club, or to use Sage, EFL or club intellectual property, unless separately agreed in writing.

13. Data protection
Sage will use personal data provided in connection with the Offer to verify eligibility, contact the recipient and administer fulfilment. Where necessary, Sage may share information with appointed providers or partners involved in fulfilment. Further information about how Sage handles personal data is available in the Sage Privacy Notice: https://www.sage.com/en-gb/legal/privacy-and-cookies/. Any processing of personal data by Sage on the recipient's behalf in the Eligible Product is governed by the applicable product terms and Sage data processing agreement: https://www.sage.com/en-gb/legal/terms-and-conditions/product-and-service-terms-and-conditions/data-processing-agreement/.

14. Liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation. Subject to this, Sage is not liable for loss caused by the recipient failing to meet product requirements, complete activation steps or comply with applicable product terms.

Subject to the first sentence of this section, Sage will not be liable for any financial loss or damage arising out of the refusal, cancellation, substitution or withdrawal of the Offer, or any failure or inability by the recipient to take advantage of the Offer for any reason, including where any part of the Offer is fulfilled by an appointed provider. Sage will not be liable under these terms for any indirect or consequential loss. Liability arising from use of an Eligible Product is governed by the applicable product terms. Otherwise, Sage's total liability under these promotional terms will not exceed £100.

15. General
These terms relate only to the Offer. Any Activation Terms continue to govern the wider promotion, competition, event or activity and any other rewards. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in force.

Sage may subcontract fulfilment of the Offer and may assign its rights and obligations under these terms to a Sage group company.

16. Governing law and jurisdiction
These terms and any non-contractual disputes are governed by English law and the courts of England and Wales have exclusive jurisdiction, unless applicable law requires otherwise.
