Hackathon "the Event"

General terms

  1. Hackathons are brought to you by Sage (UK) Limited (or its affiliates), whose registered office is at C23 5 &6 Cobalt Park Way, Cobalt Park, Newcastle upon Tyne NE28 9EJ ("Sage", "we", "us", "our").
  2. The Event is subject to these General Terms together with any specific instructions and terms which may be provided to you in any electronic messages, on our website, or communicated to you in any other way ("Promotional Material"). If there is any inconsistency between these General Terms and any Promotional Material, the Promotional Material will prevail to the extent of such inconsistency.
  3. We reserve the right to make any reasonable changes to these General Terms and to make any reasonable decision on all matters relating to the Event, at any time.
  4. By entering into the Event, you indicate your acceptance of both these General Terms and any Promotional Material.
  5. Eligibility

  6. To be eligible to participate in the Event you must: (i) read and accept these General Terms; and (ii) have completed and submitted the Event registration form by the deadline.
  7. We do not accept responsibility for acceptances of registration forms which fail to reach us for any reason, are incomplete, illegible or corrupted. We reserve the right to extend the invitation at our discretion and no payment is necessary to enter the Event.
  8. We reserve the right to limit the number of places available for participants. We reserve the right to disqualify you at any moment before or during the Event if your conduct is contrary to the spirit or intention of the Event.
  9. Intellectual Property

  10. You represent and warrant that your participation in the Event is done in your individual capacity, and not as a representative or agent of any employer, university, or other organisation, and that you are not bound by any contractual restrictions with any other third party which may limit your ability to participate in this Event and to fully comply with these General Terms.
  11. Furthermore, you represent and warrant that during your participation in the Event, you will not be utilising any resources, Confidential and/or Internal Use Information, or any Intellectual Property – both terms as defined herein - of any employer, university, or any other organisation.
  12. You represent and warrant that during your participation in the Event any elements of your contribution, which may pre-date the Event, are your own independent work, and that you (i) have not copied anyone else’s work; (ii) you have not used any form of artificial intelligence (including but not limited to language models such as ChatGPT or similar); and (iii) that you are the exclusive owner of any Intellectual Property in said elements (“Background IP”).
  13. You agree that all Background IP in any elements of your contribution will irrevocably and automatically vest in Sage on receipt, with full title guarantee, to the extent possible permitted under applicable law, including the waiving of all moral rights, and you will sign (at our expense) any documents and take any other action which we request to ensure the Background IP in your contribution vest in Sage as agreed herein.
  14. You agree that we may, at our own discretion, make your contribution available on our website, www.sage.com – or the websites of our affiliates and licensors – as well as in any other media, whether now known or invented in the future, and otherwise decide how the elements of your contribution may be used from time to time, including modifications of the same and integrating them into our technology and offerings.
  15. You acknowledge that during your participation in the Event you may have access to Sage’s Intellectual Property and Confidential and/or Internal Use Information. You hereby undertake to keep confidential and not to disclose to any third party, or to use yourself other than for the purposes of the Event or as permitted under these General Terms, any Sage’s Intellectual Property or Confidential or Internal Use Information, including these General Terms.
  16. You acknowledge that during your participation in the Event you may be granted access to Sage’s systems and hardware, and you may be required to develop certain works, such as source code, both individually or in collaboration to other participants (including from outside and inside of Sage) and/or make modifications to certain Sage’s business assets, including source code, product information, market intelligence or customer feedback, among others, whether they are protected by Intellectual Property or not, and you agree that all Intellectual Property that may arise of said development or modifications (“Foreground IP”) will automatically and irrevocably vest in Sage and/or its affiliates and licensors, with full title guarantee, to the extent possible permitted under applicable law, including the waiving of all moral rights, and you will sign (at our expense) any documents and take any other action which we request to ensure that any Foreground IP in your contribution vest in Sage as agreed herein.
  17. You hereby agree that your right of access to Sage’s systems and supplied hardware and business assets is limited and solely for the purpose of use during this Event only. Your use or access to Sage’s systems, hardware and business assets, including any modifications to Sage’s business assets for any other reason, purpose or after the Event is over is strictly prohibited.
  18. Winner and Prize

  19. If there is a winner of the Event, we reserve the right to determine the winner, including whether they are chosen by a panel of judges decided by us, and it will be set out in the Promotional Material.
  20. Further, if the winner(s) is entitled to a prize, the prize will be set out in the Promotional Material.
  21. In the unlikely event that we have difficulties in acquiring the advertised prize(s), we have the right to substitute the prize(s) with alternative(s) provided that any substitutions shall be of equal or greater value. We won’t offer a cash alternative and you cannot request an alternative prize.
  22. In some circumstances, prizes may be provided by an agent appointed by us. If you do not consent to us sharing your details with an agent for them to administer your prize, please do not agree to these General Terms.
  23. Where prizes are not claimed within the period specified in the Promotional Material they will be deemed to have been forfeited and we reserve the right to award the prize(s) to the next randomly selected entry or not at all.
  24. Prize(s) are subject to the terms and conditions of the manufacturer or supplier and all warranties, guarantees or other representations in relation to the prize(s) are as provided by the manufacturer or supplier. We will not be liable for any non-compatibility of the prize(s) with any other product or service.
  25. We will not be liable for any prizes which are lost, delayed or damaged in the post for reasons beyond our control.
  26. Where prizes are to be delivered to the personal address of a winner, the prize will only be delivered to an address within the UK and will only be sent once. Should a prize winner's contact details change, it is their responsibility to notify us or the contact persons for the relevant promotion.
  27. Publicity

  28. You agree that we may use your personal details submitted in the Event registration form to administer and run the Event and for any other purpose as stated in the accompanying Promotional Material.   29. Administration

  30. We shall not be liable to you if you suffer any loss or damage by participating in this Event. Nothing in these General Terms shall limit or exclude our liability in respect of: (i) personal injury or death caused by negligence; (ii) for fraud or fraudulent misrepresentation; or (iii) any other liability which cannot be limited or excluded by applicable law.
  31. Failure to comply with these General Terms may imply your immediate disqualification from the Event. Additionally, we reserve the right to take any available legal action against you if you fail to comply with these General Terms, including enforcement of our Intellectual Property Rights.
  32. By completing the Event registration form and participating in the Event, you acknowledge that you have read and agreed to abide by these General Terms , and confirm that you understand and accept the responsibilities, obligations and rights as set forth in these General Terms.
  33. Our decision relating to the Event and/or winners and redemption of prizes is final an no discussion or correspondence will be entered into.
  34. These General Terms are governed by the laws of England and Wales and the courts of England have exclusive jurisdiction to settle any claims or disputes (including non-contractual claims or disputes) between you and Sage.

1Intellectual Property comprises any patents, utility models, rights to inventions, copyright and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), image rights, rights in personality and similar rights, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

2Sage’s Confidential and/or Internal Use Information comprises data which access is extremely restricted or limited. It includes non-public corporate data, personal data, customer data, product and business strategies, source code, product functionalities or architectural diagrams among other.
